Definitions:
“We,” “Us,” “Our” Refers to Rose & Reach, the social media management service provider. “Client” Refers to you, the individual or entity entering into an agreement with Rose & Reach. “Services” Refers to the social media management services provided by Rose & Reach, including content creation, strategy development, and account management.
Services Provided:
We will deliver the agreed-upon services as outlined in the proposal or contract. Any additional services outside the agreed scope will require a new agreement and may incur additional charges.
Client Responsibilities:
The Client must provide accurate and complete information necessary for us to perform the services. The Client is responsible for providing access to accounts, brand assets, and other materials required for the services. The Client agrees to review and approve content in a timely manner to avoid delays.
Payment Terms:
Payment is due as outlined in the invoice or contract. Late payments may result in a suspension of services until the account is brought up to date. All fees are non-refundable unless otherwise agreed in writing.
Confidentiality:
Both parties agree to keep confidential information shared during the engagement private and not disclose it to third parties. This includes login credentials, business strategies, and other sensitive data.
Intellectual Property:
Content created by Rose & Reach remains our intellectual property until full payment is received. Once payment is made, ownership of the final deliverables is transferred to the Client. Rose & Reach retains the right to showcase work created for the Client in our portfolio unless otherwise agreed.
Limitation of Liability:
We will not be liable for any indirect, incidental, or consequential damages arising from the use of our services. While we strive to deliver results, we do not guarantee specific outcomes such as a set number of followers or sales.
Termination:
Either party may terminate the agreement with 14 days written notice. Upon termination, the Client will pay for any completed work and any outstanding invoices.
Dispute Resolution:
In the event of a dispute, both parties agree to attempt resolution through negotiation before pursuing legal action.
Governing Law:
These terms are governed by the laws of England and Wales.
Changes to Terms:
We reserve the right to update these Terms and Conditions at any time. Any changes will be posted on our website and communicated to existing Clients.
